Service Agreement

This Service Agreement ("Agreement") is made and entered into as of __________________ by and between:

Service Provider

Sulfman Consulting Ltd, a company incorporated in Nigeria, with its principal place of business at AP-B15, AMAC Plaza, Kabale Close, Off Sultan Abubakar Way, Wuse Zone 3, Abuja, Nigeria, and holding a sales and installation license from the Nigerian Communications Commission (NCC).

1. Services

The Service Provider agrees to provide the Client with high-speed, reliable internet access. This includes:

  • Provision and installation of user terminals, routers, and other necessary equipment.
  • Access to Sulfman Consulting's internet network and related infrastructure.
  • Ongoing technical support during business hours.

2. Pricing and Payment

  • The Client agrees to pay the Service Provider for the Services according to the chosen subscription plan.
  • Details of the subscription plans, including pricing, are available on the Service Provider's website at www.sulfman.com
  • All charges are exclusive of applicable taxes and will be billed monthly in advance.
  • The Client shall pay all charges within 30 days of the invoice date.
  • The Client must notify the Service Provider of any billing errors within 30 days of receipt of the invoice.
  • Payments can be made through Sulfman Consulting's online portal or other approved digital payment methods.

3. Term and Termination

  • This Agreement will become effective on the date of signing and will remain in effect until terminated by either party.
  • The Client may terminate this Agreement by providing the Service Provider with written notice of termination at least 30 days in advance.
  • The Service Provider may terminate this Agreement immediately upon written notice to the Client if the Client:
  • Breaches any material provision of this Agreement.
  • Fails to make any payment due hereunder within [NUMBER] days of the due date.

4. Client Responsibilities

The Client agrees to:

  • Use the Services in accordance with this Agreement and all applicable laws and regulations.
  • Use the equipment provided responsibly and take all reasonable steps to prevent damage to the equipment or disruption of the network.
  • Notify the Service Provider promptly of any service issues or equipment malfunctions.

5. Dispute Resolution

The Client agrees to contact the Service Provider's customer service department with any complaints or disputes. Complaints can be submitted via the following methods:

The Service Provider will acknowledge the complaint within 24 hours and use commercially reasonable efforts to investigate and resolve the complaint within five business days. If the Client is not satisfied with the Service Provider's resolution, the Client may pursue other remedies available by law.

6. Privacy and Data Protection

The Service Provider is committed to protecting the Client's privacy. The Service Provider will only use the Client's information for the purpose of providing the Services and will not disclose the Client's information to any third party without the Client's prior written consent, except as required by law.

7. Service Quality and Availability

The Service Provider will use commercially reasonable efforts to provide the Client with reliable and high-quality Services. The Service Provider will notify the Client in advance of any scheduled maintenance or service disruptions whenever possible. In the event of an unexpected service outage, the Service Provider will keep the Client informed of the situation and estimated restoration time.

8. Governing Law

This Agreement shall be governed by and construed under the laws of the Federal Republic of Nigeria.

9. Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

10. Amendment

This Agreement may be amended only by a written instrument signed by both parties.

11. Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall remain in full force and effect.

12. Waiver

No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any subsequent breach or default.
